Governance & risk

Review how commercial and operating exposures are monitored, reported and acted on.

Entering a market, changing ownership or responding to an incident can reveal gaps in who monitors an exposure and who has authority to respond. Dune reviews those arrangements across the operating footprint and their connection to board oversight.

  • Which exposures could materially affect the business plan?
  • Who receives the first indication that an exposure is changing?
  • When must management escalate an issue to the board?
  • What resources would a response require under a stress scenario?

Scope of the practice

Exposure and oversight

Review the risks associated with the strategy and operating footprint, together with the information and controls used to monitor them. Examine committee responsibilities, escalation routes and whether board reporting gives sufficient context to challenge the underlying assumptions.

Response under stress

Work through plausible disruption scenarios. Identify the signals that require action, the person authorized to act and the resources needed. Use gaps revealed by that exercise to prioritize changes to governance and controls.

Agreed work and outputs

A governance and risk assessment with assigned responsibilities and prioritized improvements. Scenario work connects specific exposures to the management responses they would require.

Information to bring

Bring the risk register, governance documents and recent board reporting. Examples of actual escalations help show how the arrangements function under pressure.
